RESULTS ANNOUNCEMENT
Introduction
Investec Bank Limited is authorised to announce that:
at a scheme meeting held on Tuesday, 15 March 2005, the requisite majority
approved the scheme of arrangement (`the scheme`) proposed by Putco between
Putco and its shareholders (other than Carleo Enterprises (Proprietary)
Limited);
the scheme was sanctioned by the High Court of South Africa (Witwatersrand
Local Division) on Tuesday, 29 March 2005; and
the Order of Court has been lodged with the Registrar of Companies for
registration.
On registration of the Order of Court by the Registrar of Companies, the last of
the conditions precedent will be fulfilled and the scheme will become operative
on Monday, 11 April 2005.
Reminder of remaining salient dates
2005
Last day for Putco shareholders to trade to be
recorded in the register of Putco shareholders
or in the sub-registers of Putco administered by Friday, 1 April
CSDPs administering relevant sub-registers on
the consideration record date on
Suspension of the listing of Putco shares on the
JSE at the commencement of trade on Monday, 4 April
Consideration record date (to be eligible to
participate in the scheme consideration) on Friday, 8 April
Operative date of the scheme from the Monday, 11 April
commencement of trade on
Scheme consideration cheques posted to
certificated Putco shareholders (if document(s)
of title are received on or prior to the Monday, 11 April
consideration record date) on
or, failing receipt of document(s) of title on
or before the consideration record date, within
five business days of receipt thereof by the
transfer secretaries
Dematerialised Putco shareholders have their
safe custody accounts held at their CSDPs or Monday, 11 April
brokers credited with the scheme consideration
on
Termination of Putco`s listing on the JSE from
the commencement of trade on Tuesday, 12 April
Notes:
1. No dematerialisation or rematerialisation of Putco share
certificates will take place after Friday, 1 April 2005.
