RESULTS OF THE ANNUAL GENERAL MEETING
Members are advised that, at the third annual general meeting held at
Resilient`s registered offices on 31 March 2005, all the resolutions contained
in the notice of annual general meeting were passed by the requisite majority.
Ordinary resolution 8, relating to the granting of a general authority to issue
shares for cash was modified at the annual general meeting, with such
modification being approved by the requisite majority, to read `the number of
shares issued for cash shall not in aggregate in any one financial year exceed
10% (ten percent)of the company`s issued share capital of ordinary shares.`
