COMMENTS
The Board of Directors are pleased to present the audited financial results of
the Group for the year ended 28 February 2005.
NATURE OF THE BUSINESS
The primary business of the Group is the granting of short and medium term home
improvement loans.
SOUTH AFRICAN STATEMENTS OF GAAP AND COMPANIES ACT REQUIREMENTS
The annual audited financial statements were prepared in compliance with South
African Statements of Generally Accepted Accounting Practice and the Companies
Act. The accounting policies for the year are consistent with those applied for
the year 28 February 2004.

to R1,1m in the previous year.

An increase of 76% in total assets which increased from R16,3 million to R28,8
million
An improvement of 29% in cash and cash equivalents from R1,4 million to R1,8
million.
BUSINESS REVIEW
The restructuring of the group is complete. The shareholders approved the chang
of name from ABC Cash Plus Limited to African Dawn Capital Limited (`African
Dawn`) at a special general meeting held during December 2004. ABC Cash Plus
Limited commenced trading as African Dawn Capital Limited in January 2005.
African Dawn has continued growing the loan book from the significant
partnership funding agreement from the National Housing Finance Corporation
(`NHFC`) which was concluded during the course of 2003 and extended in 2004. Th
demand for housing related loan products has remained strong during the period
under review. With the continued demand and the favourable market conditions,
African Dawn has initiated various projects during the year to expand its
product range within the housing market, focusing on the LSM 1-4 income group
and, to augment the National Housing Finance Corporation partnership.
African Dawn has entered into agreements with leading financial services and
estate agency companies that will see it over time, becoming bond originators
and estate agents in this market segment. These relationships are expected to b
realised during the course of 2005.
The Group has continued to adopt a conservative approach in the extension of
loans thus ensuring that the growth has been measured and is sustainable.
Stringent lending criteria, coupled with improved risk management policies and
procedures has ensured that the provision for bad and doubtful debts has
remained within the targeted range set down by management. This is in line with
the policy of assessing risk more vigorously.
CHANGE IN DIRECTORS
Mr I Mophatlane was appointed non-executive Chairman of the Group and Mr Thando
Dingaan resigned as director ..
BEE
African Dawn announced to shareholders on 13 December 2004, the successful
conclusion of the acquisition of African Dawn Investments (Pty) Ltd resulting i
a 26% black economic empowerment shareholding in the Group. This resulted in a
total issue of 5,817,679 shares, during the year under review.
SUBSEQUENT EVENTS
The directors are pleased to announce the successful conclusion of a funding
facility with Rural Housing Finance Corporation, whereby a facility of R10m wil
be extended for a period of 3 years for specifically identified housing
projects. The impact of this transaction on earnings will reflect in the latter
part of the 2006 year end.
FINANCIAL REVIEW
The African Dawn Group reported a profit of R2.1 million for the year under
review, compared to R1,2m as at 28 February 2004. The benefit of the additional
financing that was secured and resultant loans extended to customers has had a
positive impact on revenue during the reporting period.
Operating expenses increased at a lower ratio to that of revenue and includes
cost of funding.
The balance sheet reflects a significant increase in advances, which was enable
by additional NHFC borrowings. The additional NHFC facility was obtained as a
result of the successful conclusion of the BEE transaction. The R23,2 m debtors
and advances are net of a provision for bad debts being raised for the year,
which is in line with AC133.
The increased profitability was reflected in the positive cash flow for the
year.
CORPORATE GOVERNANCE
The group subscribes to the principles of the King II report and will provide
its full Corporate Governance report in the Annual Report.
DIVIDENDS
The Group does not currently have a policy of paying dividends, as all cash is
retained and re-deployed within the Group.
