RATIONALISATION OF THE WINHOLD GROUP:
RESULTS OF GENERAL MEETING OF WINHOLD, ADJOURNMENT OF SCHEME MEETING OF INMINS
AND REVISED SALIENT DATES
1. Results of general meeting
All the resolutions proposed at the general meeting of Winhold held on Monday
18 April 2005 were approved by the requisite majorities of shareholders and
will, where necessary, be submitted to the Registrar of Companies for
registration.
2. Adjournment of scheme meeting
The scheme meeting of Inmins convened for 14:30 on Monday 18 April 2005 was
adjourned by the chairman of the scheme meeting to 10:00 on Monday 25 April
2005.
The reason for the adjournment was a procedural error which resulted in 26
shareholders (representing 0,61% of the issued share capital of Inmins) not
receiving timeous notice of the scheme meeting in terms of the Order of Court
issued on 22 March 2005.
The revised salient dates and times applicable to the scheme as a consequence
of the adjournment are set out below.

Winhold share certificates posted to scheme
members who have surrendered documents of
title by Friday 20 May 2005 (or within five business
days of documents of title being received by the
transfer secretaries) and dematerialised scheme
participants have their accounts held at the Central
Securities Depository Participant or broker credited
with the scheme consideration Monday 23 May
Listing of Inmins terminates from the commencement of
trading Monday 23 May
Shareholders in Inmins who have acquired shares after Thursday 14 April 2005
will not be eligible to attend and vote at the scheme meeting.
Share certificates in Inmins may not be dematerialised or rematerialised after
Friday 13 May 2005.
These dates and times are subject to change and any such changes will be
released on SENS and published in the press.
