FULFILMENT OF CONDITION PRECEDENT
Further to the announcements dated 11 April 2005 and 24 March 2005, Intertrading
shareholders are advised that Katope has obtained the unconditional approval of
the Competition Authorities for the acquisition of all or part of the ordinary
shares in Intertrading.
The offer is now unconditional and the new salient dates and times for the offer
are as follows:
- Last day to trade to be eligible for the offer, Friday, 13 May;
- Shares trade `ex` the offer, Monday, 16 May;
- Closing date of the offer (12:00), Friday, 20 May;
- Record date, Friday, 20 May;
- CSDP or broker accounts to be updated and credited, Monday, 23 May
(Dematerialised shareholders are required to notify their CSDP or broker of the
acceptance of the offer by the cut-off time stipulated by their CSDP or broker
in terms of their agreement with the CSDP or broker);
- CSDP or broker accounts will be updated and credited accordingly within five
business days of the later of the offer becoming unconditional or the valid
acceptance of the offer.
- Cheques to be posted to certificated shareholders who have accepted the offer
and submitted their documents of title before the closing date, Monday, 23 May,
or such later date.
- Results of offer released on SENS, Monday, 23 May; and
Results of offer published in the press, Tuesday, 24 May.
Notes:
1. The above dates and times are subject to change. Any changes will be released
on SENS and published in the press.
2. Shareholders may not dematerialise or rematerialise their shares between the
business day after the last day to trade and the record date, both days
inclusive.
