CAUTIONARY ANNOUNCEMENT REGARDING THE ACQUISITION AND DISPOSAL OF RETAIL
PROPERTIES BY SA RETAIL
The unitholders of SA Retail are referred to the announcement by SA Retail dated
30 March 2005 relating to the acquisition and disposal of interests in 14 retail
properties by and between SA Retail and Martprop Property Fund (`the Martprop
Transaction`). Unitholders will also be aware that the JSE has been requested
to determine (a) the categorisation of the Martprop Transaction and (b) whether
the Martprop Transaction constitutes a related party transaction.
The JSE ruled on Wednesday, 4 May 2005 that the Martprop Transactionis both a
Category 1 and a related party transaction in terms of Sections 9 and 10 of the
Listings Requirements of the JSE. The company is considering these rulings and
a further announcement will be made in due course.
Accordingly, unitholders are advised to continue to exercise caution in dealings
with their linked units in SA Retail until further details are published.
