NOTICE OF AGM AND NO CHANGE STATEMENT
Grindrod posted its audited annual financial statements for the financial year
ended 31 December 2004 to shareholders on 29 April 2005. The Company is not
publishing an abridged report at this date because the audited financial
information published on 24 February 2005 is unchanged.
Notice is hereby given that the 38th annual general meeting of Grindrod will be
held at Prince Imperial Room, Durban Manor, 93 Victoria Embankment, Durban at
14h30 on 25 May 2005, to transact the business as set out in the notice of
annual general meeting circulated together with the annual financial statements.
