Salient Dates
Further to the announcement published on 28 January 2005, Simmers shareholders
are advised that the salient dates of the renounceable rights offer of
516 241 686 new ordinary shares of 2 cents each by Simmers to its shareholders
at a subscription price of 25 cents per rights offer share in the ratio of
229,5 rights offer shares for every 100 ordinary Simmers shares held are as
follows:

Last day to trade Simmers shares in order to
qualify to participate in the rights offer
(cum entitlement) on Thursday, 9 June
Simmers shares trade ex the rights offer
entitlement on the JSE at 09:00 on Friday, 10 June
Listing and trading of letters of
allocation on the JSE at 09:00 Friday, 10 June
Record date for shareholders to
participate in the rights offer on Friday, 17 June
Circular posted and form of instruction
issued to certificated Simmers shareholders on Monday, 20 June
Rights offer opens at 09:00 on Monday, 20 June
Last day for trading in letters
of allocation on the JSE on Friday, 1 July
Listing and trading of rights offer
shares on the JSE at 09:00 on Monday, 4 July
Rights offer closes at 12:00 on (see note 5) Friday, 8 July
Forms of instruction to be lodged and
payments made by certificated Simmers
shareholders at 12:00 on Friday, 8 July
Record date for letters of allocation on Friday, 8 July
Entitlement in respect of the rights offer available on Monday, 11 July
Rights offer shares issued and posted to
certificated Simmers shareholders on or about Monday, 11 July
Results of the rights offer announced on SENS on Monday, 11 July
Results of the rights offer published in the press on Tuesday, 12 July
Notes:
1. The above dates and times are subject to amendment and the registration
of the rights offer documentation by the Registrar of Companies by 2 June
2005. Details of any such amendment will be released on SENS and published in
the press.
2. Share certificates in respect of Simmers shares may not be
dematerialised or rematerialised between Friday, 10 June 2005 and Friday, 17
June 2005, both days inclusive.
3. All times indicated are South African times unless otherwise
specifically indicated.
4. CSDPs effect delivery on a `delivery against payment method` in respect
of holders of dematerialised Simmers shares.
5. If you are a holder of dematerialised Simmers shares, you are required
to notify your duly appointed CSDP or broker of your acceptance of the rights
offer in the manner and time stipulated in the agreement governing the
relationship between yourself and your CSDP or broker.
