RESULTS OF ANNUAL GENERAL MEETING
Grindrod shareholders are advised that, at the annual general meeting of
Grindrod held at the Prince Imperial Room, Durban Manor, 93 Victoria Embankment,
Durban on 25 May 2005, all the resolutions were passed by the required majority
of shareholders. Voting on all the resolutions took place by way of a poll.
