Results of general meeting and further cautionary announcement
1. Results of general meeting
Barplats shareholders are advised that the resolutions regarding:
- the introduction of a 26% Black Economic Empowerment shareholder into
Barplats through a specific issue of ordinary shares for cash to
Gubevu Consortium Investment Holdings (Proprietary) Limited;
- the granting by Barplats of an option to Nedbank Capital to subscribe
for ordinary shares in Barplats for cash;
- the granting of a right to Eagle Worldwide Investments Limited to
convert the outstanding portion of the Eagle loan facility into
ordinary shares in Barplats; and
- amendments to the Barplats Share Trust
as detailed in the circular to shareholders date 20 June 2005, were passed
by the requisite majority of shareholders present and represented by proxy
at the general meeting held today, 5 July 2005.
2. Further cautionary announcement
Further to the cautionary announcement published on 21 June 2005, Barplats
shareholders are advised that the financial effects and the salient dates
and times of the option rights offer will be published in due course.
Shareholders are accordingly advised to continue to exercise caution when
dealing in their Barplats shares until a further announcement is made.
