Results of general meetings, subdivision of shares and staff empowerment
transaction
1. Results of the general meetings
Further to the announcement published on Friday, 17 June 2005, shareholders are
advised that at the annual general meeting and the subsequent general meeting
held on Wednesday, 13 July 2005, all the special and ordinary resolutions
proposed at such general meetings were approved by the requisite majority of
members. The special resolutions have been lodged with the Registrar of
Companies for registration.
2.Subdivision of shares
Assuming that the special resolutions are registered on or before Thursday, 21
July 2005, the last day to trade in Edcon ordinary shares with a par value of 10
cents each will be on Friday, 22 July 2005. Trading will commence in new Edcon
ordinary shares with a par value of 1 cent each under the new ISIN of
ZAE000068649 on Monday, 25 July 2005. Any changes to this timetable will be
communicated to shareholders through an announcement on SENS and in the press.
Shareholders holding certificated shares are reminded that they should surrender
their share certificates in accordance with the instructions contained in the
circular posted to shareholders on Friday, 17 June 2005.
Replacement share certificates reflecting the subdivision will be posted to
certificated shareholders within five business days of receipt of the
surrendered share certificates.
3. Implementation of the staff empowerment transaction
Upon registration of the special resolutions, the staff empowerment transaction
will become unconditional and 56 500 000 `A` ordinary shares will be issued to
