RESULT OF THE SCHEME MEETING HELD IN REGARD TO THE SCHEME OF ARRANGEMENT (`THE
SCHEME`) IN TERMS OF SECTION 311 OF THE COMPANIES ACT, NO. 61 OF 1973 (AS
AMENDED) PROPOSED BY AMRITE INVESTMENTS (PTY) LIMITED BETWEEN SASANI AND ITS
SHAREHOLDERS (OTHER THAN SASANI MANAGEMENT (PROPRIETARY) LIMITED)
Further to the announcement of 6 July 2005, shareholders are advised that the
scheme was duly approved by the requisite majority of votes exercised by the
shareholders of Sasani present and entitled to vote, either in person or by
proxy, at the scheme meeting held on Monday, 1 August 2005. A copy of the
chairman`s report on the results of the scheme meeting may be obtained free of
charge by Sasani members from, and will, in addition lie for inspection by
members at, the registered office of Sasani, Sasani Studios, 2 Johannesburg
Road, Highlands North, Johannesburg, with effect from Friday, 5 August 2005.
Application to the High Court of South Africa (`the Court`) for sanction of the
scheme will be made at 10:00, or so soon thereafter as the matter may be heard,
on Tuesday, 16 August 2005 (`Court hearing`). If the Court sanctions the
scheme, the sole remaining condition precedent to the scheme will be the
registration by the Registrar of Companies of the Order of Court sanctioning the
scheme.
Shareholders are reminded that the Court is located at High Court Building, von
Brandis Street, Johannesburg.
Further announcement
An announcement regarding the outcome of the Court hearing and, if then
applicable, the registration of the Order of Court by the Registrar of
Companies, will be made on or about 17 August 2005.
