FURTHER ANNOUNCEMENT REGARDING THE DISPOSAL OF SECURIPARK (PROPRIETARY) LIMITED
(`SECURIPARK`)
1. Introduction
Shareholders are referred to the announcement published on 20 July 2005
regarding the disposal by Excellerate and its wholly-owned subsidiary Interpark
SA (Proprietary) Limited of all their shares in and claims against Securipark
(currently a wholly-owned subsidiary of Excellerate) (`the disposal`).
2. Related party transaction
As the purchaser is a director of Securipark, the disposal is a `small related
party transaction` in terms of the JSE Limited Listings Requirements.
Excellerate therefore appointed Grant Thornton Corporate Finance (Proprietary)
Limited (`Grant Thornton`) as an independent expert to review the terms and
conditions of the disposal
Grant Thornton has reviewed the terms and conditions of the disposal and is of
the opinion that the terms and conditions are fair and reasonable to Excellerate
shareholders. Grant Thornton has expressed this opinion in writing and this
opinion will be available for inspection at Excellerate`s registered office,
Block F, Ground Floor, Pin Mill Farm, 164 Katherine Street, Sandown, from 18
August 2005.
3. Conditions precedent
All the outstanding conditions precedent relating to the disposal have been
fulfilled and the disposal is now wholly unconditional.
