TRANSACTION UPDATE AND PROFIT FORECAST
1. Transaction update: Acquisition of DuO Solutions Provider (Pty) Ltd (`DuO`)
and related matters (`the transaction`)
Further to the announcements of 21 June 2005 and 10 August 2005, River Sponsors
(Pty) Ltd are authorised to announce that the circular to shareholders was
posted on Friday, 12 August 2005. The circular contains, inter alia, details on
the company and assets being acquired, the consideration for the acquisition,
the consolidation of existing shareholdings in order to facilitate the
transaction, and the opinions expressed by the independent professional expert
to the transaction. Copies of the circular, incorporating the revised listing
particulars, may be obtained during normal business hours at the registered
offices of Zaptronix (being Solutions House, Gazelle Close, Corporate Park,
Midrand) and River Sponsors (Pty) Ltd (being Block C, First Floor, Parc Nouveau,
225 Veale Street, Brooklyn, Pretoria) up to and including 6 September 2005.
The general meeting to approve the transaction will take place at 10:00 on
Tuesday, 6 September 2005 in the Board Room, Upper Floor, Solutions House,
Gazelle Close, Corporate Park, Old Pretoria Road, Midrand. The salient dates

2. Profit forecast
Shareholders are referred to the circular detailing the transaction, which
contains the following consolidated profit forecast for the new Zaptronix group,
incorporating DuO, for the financial period ending 31 August 2005:

The forecast incorporate the results of Zaptronix for 16 months and the results
of DuO for 12 months. Management has confirmed that Zaptronix and DuO are on
