In light of the provisional ruling made by the Securities Regulation Panel on 6
September 2005, the scheme of arrangement in terms of section 311 of the
Companies Act, 1973 proposed by Amrite Investments (Pty) Limited between Sasani
and certain of its shareholders (`the scheme`) was conditionally sanctioned by
the High Court of South Africa (Witwatersrand Local Division) on 7 September
2005 in terms of the Order of Court set out below.
Shareholders will be advised by notice in the press and on SENS as soon as
possible after 13 September 2005 whether all of the suspensive conditions for
implementation of the scheme have been fulfilled and if so, the revised
timetable relating to its implementation.

Upon the motion of Counsel for the Applicant and upon reading the notice of
motion and the other documents filed on the record:
It is ordered that:
Subject to 2 below, the scheme of arrangement (a copy of which is Annexure `C`
to the notice of motion) between Sasani Limited and its ordinary shareholders
(other than Sasani Management Company (Pty) Limited) be and it is hereby
sanctioned in terms of section 311 of the Companies Act, 1973, as amended, and
declared to be binding on Sasni Limited and its aforesaid shareholders;
All interested parties, including the Executive Director of the Securities
Regulation Panel, are hereby called to show good cause to this Court, on
Tuesday, 13th September 2005 at 10h00 (or so soon thereafter as Counsel may be
heard) why the Order in 1 above should be set aside;
The applicant shall:
3.1 cause a copy of this Order to be delivered to the Securities Regulation
Panel by not later than 10h00 on Thursday, 8th September 2005; and
3.2 cause a copy of this Order to be published in the Business Day, The Star
and Die Beeld by not later than Friday, 9th September 2005.
