NO CHANGE STATEMENT, NOTICE OF ANNUAL GENERAL MEETING ("AGM") AND DETAILS OF
DISPOSAL CIRCULAR
Distribution of annual financial statements
Further to the publication on 25 July 2005 of the Group"s audited results for
the period ended 31 March 2005 ("the year end results announcement"), Simmers
advises that its 2005 annual report, which incorporates the annual financial
statements for the said period ("annual financial statements"), is being posted
to shareholders today.
Non-publication of abridged report
As there have not been any changes to the year-end results announcement, the
Group is not required to publish an abridged report as contemplated in paragraph
3.21 of the JSE Limited ("JSE") Listings Requirements.
The year end results announcement and the annual financial statements were
audited by Simmers" independent auditors, Grant Thornton, whose unqualified
audit report is available for inspection at Simmers" registered office.
Notice of AGM
Shareholders are advised that the AGM of Simmers" members will be held in the
boardroom, 5 Press Avenue, Selby, Johannesburg, South Africa on Thursday, 15
December 2005, at 10h00, to transact the business set out in the meeting notice,
which is contained, in the annual financial statements.
Ratification of disposal.
Shareholders are referred to the year end results announcement wherein it was
advised that the Company had sold Makonjwaan Imperial Mining Company (Pty) Ltd
("Mimco"), a wholly owned subsidiary of Simmers to Orlyfunt Holdings (Pty) Ltd
with effect from 1 September 2004 ("the disposal"). The disposal has been
ruled a related party transaction by the JSE. Full details of the disposal,
including an independent fair and reasonable opinion on the terms and conditions
of the disposal will be included in a circular to shareholders and not in the
annual financial statements as previously stated. This circular will be posted
in due course
