Implementation of the odd-lot offer
Shareholders are referred to previous announcements relating to an odd-lot offer
by the company. Shareholders are advised that the odd-lot offer to holders of
fewer than 100 shares who were recorded as such in Johncom"s register of members
("register") as at close of business on Friday, 7 October 2005 ("record date")
and nominee holders who were recorded as such in the register on the record date
who held less than 100 dematerialised shares on behalf of a beneficial owner on
the record date (collectively, "odd-lot holders") has been duly implemented.
Results of the odd-lot offer
The total number of shares sold by odd-lot holders pursuant to the odd-lot offer
is 391 127 shares. These shares have been sold by such odd-lot holders at 4867
cents per share (being the offer price plus 5% premium as announced on 15
September 2005), amounting to a total cash consideration of R19 036 151.
The total number of shares purchased by odd-lot holders who elected to purchase
sufficient additional shares to increase their odd-lot holdings to holdings of
100 shares is 22 972 shares, which shares have been purchased by such odd-lot
holders at 4635 cents per share, amounting to a total cash consideration of R1
064 752,20.
Odd-lot holders who hold certificated shares ("certificated odd-lot holders")
New share certificates will be posted by registered post to certificated odd-lot
holders who elected to purchase shares on or about Monday, 10 October 2005, at
the risk of such odd-lot holders.
Cheques will be posted to, or electronic transfers will be effected in respect
of certificated odd-lot holders who elected to sell their odd-lot holdings on or
about Monday, 10 October 2005 at the risk of such odd-lot holders.
All certificated odd-lot holders who failed to make an election timeously and
are therefore deemed to have sold their odd-lot holdings are reminded to submit
their relevant documents of title to the transfer secretaries, Computershare
Investor Services 2004 (Proprietary) Limited, Ground Floor, 70 Marshall Street,
Johannesburg, 2001 (P O Box 61763, Marshalltown, 2107), in order to receive
payment in respect of their odd-lot holdings. These odd-lot holders are also
reminded that their documents of title will no longer be valid after Friday, 7
October 2005.
Odd-lot holders who hold dematerialised shares ("dematerialised odd-lot
holders")
On Monday, 10 October 2005 dematerialised odd-lot holders" accounts with their
Central Securities Depository Participant or broker will be updated and/or
debited/credited to give effect to the odd-lot offer.
