CHANGE OF SPONSOR, AUDITOR AND RESULTS OF ANNUAL GENERAL MEETING
Shareholders are advised as follows:
In compliance with rule 2.6 of JSE Limited Listings Requirements ("JSE"), River
Sponsors (Proprietary) Limited have resigned as Sponsor to Matodzi with effect
from 31 October 2005 and Sasfin Corporate Finance have been appointed with
effect from 1 November 2005.
In compliance with rule 3.75 of the JSE, Charles Orbach and Company have
resigned as Auditor to Matodzi with effect from 2 November 2005 and KPMG Inc.
have been appointed on the same date.
At the Annual General Meeting of Matodzi, which was held on Wednesday, 2
November 2005, shareholders are advised that all the resolutions proposed, as
detailed in the Notice convening the meeting, were passed by the requisite
majority of Matodzi shareholders representing 79.96% of the issued share
capital.
