RESULTS OF GENERAL MEETING OF PANGBOURNE SHAREHOLDERS AND GENERAL MEETING OF
PANGBOURNE DEBENTURE HOLDERS
The general meeting of Pangbourne shareholders and the general meeting of
Pangbourne debenture holders ("the general meetings") were held on Friday, 11
November 2005.
Pangbourne combined unitholders are referred to the Pangbourne SENS announcement
dated 11 October 2005 and the circular posted to Pangbourne shareholders and
Pangbourne debenture holders dated 20 October 2005, relating to an empowerment
transaction with Yard Capital (Proprietary) Limited ("Yard"), a black-owned
company, to be implemented by means of:
- an allotment and issue of combined units by Pangbourne to Panya Investments
(Proprietary) Limited ("Panya"), a wholly-owned subsidiary of Pangbourne, in
accordance with the Companies Act 61 of 1973, as amended; and
- the disposal by Pangbourne of its ordinary shares in Panya to Yard.
All the resolutions as set out in the respective notices of general meetings
were approved by the requisite majorities.
