SANCTIONING OF THE SCHEME OF ARRANGEMENT
Medi-Clinic shareholders ("shareholders") are referred to the announcements
released on SENS on 4 October 2005 and 23 November 2005, and the circular to
shareholders dated 1 November 2005 relating to the introduction of Phodiso
Holdings Limited and Circle Capital Ventures (Proprietary) Limited, together
with all Medi-Clinic employees up to, and including, first line management
level, combined, as 15% shareholders of Medi-Clinic. Shareholders are advised
that the scheme of arrangement in terms of section 311 of the Companies Act 1973
(Act 61 of 1973), as amended, jointly proposed by Mpilo Investment Holdings 1
(Proprietary) Limited and Mpilo Investment Holdings 2 (Proprietary) Limited
between Medi-Clinic and its ordinary shareholders ("the Scheme"), was sanctioned
by the High Court of South Africa (Cape of Good Hope Provincial Division) on
Thursday, 1 December 2005. The remaining condition precedent is that the Order
of Court sanctioning the Scheme be registered by the Registrar of Companies. It
is expected that the Order of Court will be lodged and registered with the
Registrar of Companies on Friday, 2 December 2005.
It is anticipated that the Scheme will be implemented according to the timetable
contained in the announcements and the circular referred to above. Shareholders
are reminded that the last day to trade to participate in the Scheme is expected
to be Thursday, 8 December 2005 and the operative date of the Scheme is expected
to be Monday, 19 December 2005.
