IMPLEMENTATION AND RESULTS OF THE ODD-LOT OFFER
1. IMPLEMENTATION OF THE ODD-LOT OFFER
Investec Members are referred to the announcements made on 14, 18 and 22
November 2005 and are advised that Investec has elected to proceed with the
implementation of the Odd-lot Offer in respect of those Investec Members
who had an aggregate holding of less than 100 shares in Investec Limited or
Investec plc at the close of business on Friday, 2 December 2005 ("Odd-lot
Holders"), and accordingly the cautionary announcement is withdrawn.
2. RESULTS OF THE INVESTEC LIMITED ODD-LOT OFFER
2.1 The total number of Investec Limited Shares made available by those Odd-lot
Holders who elected to sell their Odd-lot holdings and by those who failed
to make an election and consequently were deemed to have sold their Odd-lot
holdings, is 285 010 Investec Limited Shares. These shares have been
repurchased by a subsidiary of Investec Limited at the
Investec Limited Odd-lot Offer price.
2.2 Investec Limited Odd-lot Holders holding in aggregate 70 251 Investec
Limited Shares elected to retain their Odd-lot holdings.
3. RESULTS OF THE INVESTEC PLC ODD-LOT OFFER
3.1 The total number of Investec plc Shares made available by those Odd-lot
Holders who elected to sell their Odd-lot holdings and by those who failed
to make an election and consequently were deemed to have sold their Odd-lot
holdings, is 305 120 Investec plc Shares. These shares have been
repurchased by Investec plc at the Investec plc Odd-lot Offer price in
respect of the Odd-lot holdings recorded in the United Kingdom share
register and the Investec plc Odd-lot Offer price in respect of the Odd-lot
holdings recorded in the South African branch register, as the case may be.
3.2 Investec plc Odd-lot Holders holding in aggregate 57 798 Investec plc
Shares elected to retain their Odd-lot holdings.
4. CERTIFICATED INVESTEC ODD-LOT HOLDERS
Certificated Investec Odd-lot Holders who elected to sell their Odd-lot
holdings or who failed to make an election and who were therefore deemed to
have sold their Odd-lot holdings are reminded that in order for their
payments in respect of their sold Odd-lot holdings to be effected, they are
required to surrender their relevant documents of title in accordance with
the instructions contained in the Form of Surrender which accompanied the
circular to Investec Members issued on 20 October 2005.
Cheques will be posted on or about Monday, 5 December 2005 to those
Investec Odd-lot Holders who surrendered their relevant documents of title
and which were received by 12:00 (SA time) or 12:00 (UK time), as the case
may be, on Friday, 2 December 2005. In the case of documents of title
surrendered after Friday, 2 December 2005, cheques will be posted within
five business days of receipt of such documents of title.
Odd-lot Holders are reminded that their documents of title are no longer
good for delivery after Friday, 2 December 2005, and will have no value
other than to receive the proceeds of the sale of their Investec Shares.
Investec plc Odd-lot Holders who hold their shares via CREST are reminded
that they could only participate in the Odd-lot Offer if they
rematerialised their shares.
5. DEMATERIALISED INVESTEC ODD-LOT HOLDERS HOLDING INVESTEC SHARES THROUGH
STRATE
Any movement in the number of Investec Shares held and amounts receivable
by an Investec Odd-lot Holder as a result of the implementation of the Odd-
lot Offer, will be automatically updated in the Odd-lot Holder"s account
with their respective CSDP or broker on Monday, 5 December 2005.
