FULFILMENT OF ALL THE CONDITIONS PRECEDENT RELATING TO THE AFLEASE
SCHEME OF ARRANGEMENT
1. Conditions precedent
Aflease ordinary shareholders are advised that the last of the
conditions precedent, being the registration by the Registrar of
Companies of the Order of Court sanctioning the scheme of
arrangement ("the scheme") in terms of section 311 of the South
African Companies Act, 1973 (Act 61 of 1973) proposed by Southern
Cross Resources Inc. ("Southern Cross"), between Aflease and the
Aflease ordinary shareholders, excluding Southern Cross, has been
met and the scheme is now unconditional.
2. Salient dates
The salient dates as set out in the announcement dated Tuesday, 11
October 2005 will remain unchanged. Aflease ordinary shareholders
are reminded that the last day to trade in Aflease ordinary shares
on the JSE Limited in order to be recorded in the register on the
record date for the scheme, being Friday, 23 December 2005, will
be Thursday, 15 December 2005 and the operative date of the scheme
is expected to be Tuesday, 27 December 2005.
