DEALING IN SECURITIES BY DIRECTORS
In compliance with rules 3.63 to 3.74 of the JSE Listings Requirements, the
following information is disclosed:
The Trustees of the Digicore Holdings Share Trust ("the Trustees") have approved
a regular grant of options on ordinary shares in Digicore in terms of the
Digicore Holdings Limited Share Trust Scheme ("the Scheme") totaling 1 435 000
shares on 15 December 2005 at a strike price of 247 cents per share being the
middle market price of the shares on 14 December 2005. This announcement
reflects the acceptance in terms of the Scheme of the grants on 1 000 000 share
options as set out in the table below:

Options granted under the scheme will vest at a rate of 20% on each of the first
and second anniversaries of the option date and at a rate of 30% on each of the
third and fourth anniversaries of the option date.
Clearance to deal in these securities was obtained in accordance with Rule 3.66
of the JSE Listings Requirements.
