DEALINGS IN SECURITIES BY NON-EXECUTIVE DIRECTOR AND ASSOCIATES
In terms of paragraph 3.63 - 3.74 of the Listings Requirements of JSE Limited,
the following information is disclosed in respect of the acquisition of Nedbank
Group Limited ordinary shares by a non-executive director and associates of a
non-executive director of Nedbank Group Limited and Nedbank Limited on 28
December 2005:

These shares are held on an indirect beneficial basis.
The shares have been acquired through the Nedbank Eyethu Ownership Plan, part of
the group"s black economic empowerment (BEE) transaction, in terms of which
qualifying retail clients of Nedbank Group can subscribe for shares at current
market value, and have the opportunity of receiving one bonus share at the end
of the lock-in period (36 months) for every three allocated offer shares held,
subject to the participant complying with the rules of the Nedbank Eyethu
Ownership Plan.
The BEE transaction was announced on 19 April 2005 and details were contained in
a circular to shareholders dated 15 June 2005. Further details are contained in
the Nedbank Eyethu Ownership Plan prospectus issued on 15 August 2005.
Prior written approval in terms of paragraph 3.66 of the Listings Requirements
has been obtained.
