RESULTS OF THE GENERAL MEETING OF MATHOMO SHAREHOLDERS IN RESPECT OF
THE APPROVAL OF THE DISPOSAL BY MATHOMO OF ITS SELECT PPE BUSINESS
(THE "DISPOSAL"), THE AMENDMENT OF THE ARTICLES OF ASSOCIATION OF
MATHOMO AND THE PROPOSED TERMINATION OF LISTING OF MATHOMO SHARES ON
THE JSE LIMITED (THE "DE-LISTING")
Java Capital is authorised to announce the results of the general
meeting of Mathomo shareholders ("shareholders") held on Tuesday,
10 January 2006, in terms of the notice of general meeting of
shareholders contained in the circular to shareholders issued on 15
December 2005(the "general meeting") were as follows:
in respect of the resolution relating to the disposal, 88.3% of the
shareholders eligible to vote on such resolution present at the
general meeting either in person or represented thereat by proxy,
voted unanimously in favour of the resolution;
- in respect of the resolution relating to the delisting, 88.3% of
the shareholders eligible to vote on such resolution present at the
general meeting either in person or represented thereat by proxy,
voted unanimously in favour of the resolution; and
- in respect of the special resolution relating to the amendment to
the articles of association of Mathomo as contemplated in the
circular, 95.8% of the shareholders eligible to vote on such
resolution present at the general meeting either in person or
represented thereat by proxy, voted unanimously in favour of the
resolution.
All conditions precedent with respect to the disposal have now been
fulfilled. The special resolution in respect of the amendment to the
articles of association of Mathomo will be lodged shortly with the
Registrar of Companies for registration.
The salient dates and times as published in the circular remain
unchanged and shareholders are reminded that the offer by Mineworkers
Investment Company (Pty) Limited to acquire their shares will close at
12:00 noon on Friday, 17 February 2006 and Mathomo will de-list at
commencement of trade on Tuesday, 21 February 2006.
