RESULTS OF GENERAL MEETING
At the general meeting of the company held on 16 January 2006, the requisite
majority of shareholders approved the ordinary and special resolutions required
to implement the acquisition by the company of all of the issued shares and
portions of the shareholders" loan accounts in IFA Zimbali Lodge (Pty) Limited
and all of the issued shares in IFA Hotels & Resorts (South Africa) (Pty)
Limited from IFA Hotels & Resorts K.S.C.C., a Kuwaiti-based real estate company,
as a reverse take-over ("the reverse take-over"). All shareholders present and
voting or represented by proxy voted in favour of the proposed resolutions.
Registration of the special resolutions is expected to take place shortly,
following which a further announcement will be made confirming the relevant
dates associated with the implementation of the reverse take-over.
