CHANGE TO THE BOARD
Subsequent to the offer by Vodafone Holdings (SA) (Proprietary) Limited for
VenFin becoming wholly unconditional, the following directors of VenFin have
resigned, in accordance with the provisions of the Sale of Shares Agreement
entered into between Rembrandt Trust (Proprietary) Limited and Vodafone Group
Plc:
J P Rupert, P E Beyers, M J Bosman, E C Botha, J W Dreyer,
G T Ferreira, A G Fletcher, E Links, J E Newbury,
J Malherbe and J J Durand.
The following non-executive directors have been appointed:
Johannes Christoffel Els (Chairman), Erik Antonius Jacobus de Rijk (Chief
Executive Officer), Michael Ludovicus Josephus Maria Heere, Robert Nicolas Barr
(Financial Director).
Mariza Lubbe has resigned and Levitt Kirson Management Services CC will resume
the role of Company Secretary.
