CHANGES TO THE PLATINUM CONSORTIUM AND TERMINATION OF VOLUNTARY DISCLOSURE OF
DEALINGS IN BARPLATS SECURITIES BY MEMBERS OF THE PLATINUM CONSORTIUM
A consortium comprising of, Brier Global Limited, Flower Valley Investment Inc.,
Photon Global Limited, Rivercity Holdings Corp and the Trustees of the Kleo
Trust ("Platinum Consortium"), came together for the purpose of the acquisition
of a controlling interest in Barplats from Impala Platinum Holdings Limited and
as a result making the mandatory cash offer to Barplats minority shareholders in
March 2004. The Platinum Consortium is the controlling shareholder of Barplats
holding approximately 69% of the issued share capital in Barplats.
In the interest of good corporate governance and transparency, the Platinum
Consortium resolved at the time of closing of the mandatory offer to continue
making voluntary disclosures of any trading activity undertaken by members of
the Platinum Consortium.
The Platinum Consortium has informed Barplats that, as agreed with the Kleo
Trust, the Kleo Trust will cease to form part of the Platinum Consortium.
Barplats shareholders are also advised that no further voluntary announcements
will be made and that all disclosures on dealings in Barplats securities will in
future be undertaken in terms of normal disclosure requirements of JSE.
