POSTPONEMENT OF GENERAL MEETING AND RENEWAL OF CAUTIONARY ANNOUNCEMENT
Shareholders of Samrand Development Holdings Limited are advised that at the
General Meeting of the company which was held at 11:30am on Thursday, 9 February
2006, it was resolved to postpone the meeting.
Accordingly the meeting will now be held at 11:30am on Monday, 27 February 2006,
at the offices of Van Der Merwe Du Toit Inc., Brooklyn Place, cnr Dey and
Bronkhorst Streets, Brooklyn, Pretoria, 0001. The reason for the postponement
was pursuant to information received by the representative of one of the major
shareholders that the trustees of the joint insolvent estate of Dato and Datin
Samsudin are presently involved in negotiations regarding the insolvent estate,
which negotiations could have an effect on the way in which they vote their
shares.
All forms of proxy submitted timeously for the meeting which was supposed to be
held at 11:30am on 22 November 2005, for the meeting which was supposed to be
held at 11:30am on 13 December 2005, for the meeting which was supposed to be
held at 11:30am on 29 December 2005, for the meeting that was supposed to be
held at 11:30am on 19 January 2006 and for the meeting which was supposed to be
held at 11:30am on 9 February 2006, shall still be valid for the meeting to be
held on 27 February 2006. Those shareholders who did not submit forms of proxy
and still wish to do so, must ensure that these are received by the transfer
secretaries, Computershare Investor Services 2004 (Pty) Limited, by no later
than 11:30am on Friday, 24 February 2006. In addition, there will be a pre-
registration of shareholders at 11:00am on Monday, 27 February 2006, where
shareholders wishing to attend the meeting to be held at 11:30am shall only be
permitted to do so once they have satisfied the company"s transfer secretaries
and attorneys that said shareholders are indeed entitled to attend such meeting.
Due to the postponement of the general meeting, the cautionary announcement is
hereby renewed.
