DEALING IN SECURITIES BY A DIRECTOR
In compliance with section 3.63 of the Listings Requirements of JSE Limited
("the Listings Requirements") we hereby advise that for financial planning
purposes Mr A v A Boshoff, Executive Director and Chief Executive : Discount
Division of Edcon, has purchased 150 000 and sold 150 000 Edcon shares over
which options had been issued to him. The details of these transactions are as
follows :
A. Nature of Transaction: Purchase pursuant to the exercise
of options

Class of Shares : Ordinary shares of 1 cent each
Number of Shares : 150 000
Price per share : 240 cents
Value of Transaction : R360 000.00
Nature of interest : Directly beneficial
Option Strike Price : 240 cents per share
Option Strike Date : 14 February 2002
Vesting Periods : 30% after three years from the option strike date, a
further 30% after four years from the option strike
date, and the balance after five years from the
option strike date, provided all options are
purchased by no later than 10 years after the option
strike date.

Boshoff to deal in the above securities has been obtained from Mr W S
