GLENRAND MIB BLACK ECONOMIC EMPOWERMENT TRANSACTION
Shareholders are referred to the announcement released on SENS on Wednesday, 15
February 2006 relating to the Scheme of Arrangement in terms of section 311 of
the Companies Act, 1973 (Act 61 of 1973), as amended, proposed by Risk Funding
Services (Proprietary) Limited and the Glenmib Employee Empowerment Trust
("Glenmib Trust") (collectively, the "Proposers") and are advised that the
Proposers will, subject to the fulfilment of the conditions precedent, jointly
acquire for a cash consideration of R2.27 per ordinary share, 12.30717 ordinary
shares for every 100 ordinary shares held, rounded to the nearest whole number,
from all shareholders other than from Kunene Finance Company (Proprietary)
Limited, the Glenmib Employee Scheme Trust and the Glenmib Trust.
