Consolidation
Subsidiaries are all entities (including special purpose entities) over which
the Group has the power to govern the financial and operating policies
generally accompanying a shareholding of more than one half of the voting
rights.
Subsidiaries are fully consolidated from the date on which control is
transferred to the Group.
They are de-consolidated from the date control ceases.
The purchase method of accounting is used to account for the acquisition of
subsidiaries by the Group.
The excess of the cost of acquisition over the fair value of the Groups share
of the identifiable net assets is recorded as goodwill. If the cost of
acquisition is less than the fair value of the Groups" share of the net assets
of the subsidiary acquired, the difference is recognised directly in the income
statement as negative goodwill.
Goodwill is tested annually for impairment and carried at cost less accumulated
impairment losses.
Transitional Report
The date of transition to IFRS for the Group is 1 January 2004. The key
principle of IFRS 1 - First-time Adoption of International Financial Reporting
Standards is full retrospective application of these standards. IFRS 1 however
provides exemptions from retrospective application in certain instances due to
cost and practical considerations.
The Groups" transitional elections are set out below:
Business Combinations
The group adopted IFRS 3 - Business combinations, from 1 January 2004 and
therefore no adjustments are required. The exemption available allows the Group
not to apply the principles of IFRS 3 retrospectively. This exemption was
exercised.
Property, plant and equipment
A first-time adopter may elect to use the fair value of individual property,
plant and equipment at transition date as the deemed cost. The Group is not
making use of this transitional exemption and elects to measure individual
items of property, plant and equipment at original cost.
Share-based payments
The Group is electing not to apply IFRS 2 - Share Based Payments to equity
settled transactions prior to 7 November 2002 or to the same granted after that
date but which had vested prior to 1 January 2005 and has therefore taken the
available exemption.
Date of adoption for subsidiaries
A subsidiary that adopts IFRS later than its parent can elect to apply IFRS 1 -
First time adoption of International Financial Reporting Standards or to use
the carrying amounts of its assets and liabilities included in the consolidated
financial statements, subject to eliminating any consolidation adjustments. As
all subsidiaries of the group have adopted IFRS at the same adoption date 31
December 2005, no subsidiaries have elected this option.
Change in accounting policy
Due to the adoption of IFRS the following accounting policies have been
adopted/amended;
Goodwill
Goodwill represents the excess of the cost of an acquisition over the fair
value of the Group"s share of the net identifiable assets of the acquired
subsidiary/associate at the date of acquisition. Goodwill is tested annually
for impairment and carried at cost less accumulated impairment losses. Gains
and losses on the disposal of an entity include the carrying amount of goodwill
relating to the entity sold. This policy has been applied prospectively in
accordance with IFRS 3 Business Combinations.
Trademarks
Trademarks is included under intangible assets. Trademarks with a definite
useful life are carried at cost less accumulated amortisation. Amortisation is
calculated using the straight line basis over their estimated useful lives.
Trademarks with an indefinite useful life are carried at fair value and tested
for impairment on a regular basis. Any impairment loss is recognised directly
in the income statement.
The useful life of trademarks are reviewed each period to determine whether
events and circumstances continue to support an indefinite useful life
assessment.
Interim Operations
The business has performed extremely well and diluted earnings per share has
grown by some 300% and the net asset value has grown by 19% for the half year.
All businesses under our control contributed positively to the bottom line.
Although Dynamic Cables traditionally provides the majority of the group"s
income in this particular period, the major source of income has been from the
group"s property investment.
Your board has no reason to believe that this trend will not continue for the
rest of the year and we anticipate exceeding the previous year"s income by a
significant margin.
Changes in estimates
There are no changes to estimates made under previous SA GAAP for transition
to IFRS.
Where estimates have previously been made under SA GAAP, consistent estimates
(after adjustments to reflect any difference in accounting policies) have been
made for the same date.
Dividends
No dividends have been declared or paid at interim date.
Segmental reporting
The company has diversified investments across three main categories, namely
Property, Technology and Security.
The condensed segment report deals with these three categories.
Subsequent Events
There have been no material subsequent events other than the progress of the
acquisition of interest in Sancino deal - Shareholders are referred to the
"withdrawal of the cautionary announcement" for further details in this regard.
Related Party Transactions
Related party transactions between subsidiaries of the group and between the
company and the group have been eliminated in full on consolidation. These
transactions are no less favourable than those arranged with third parties.
Business Combination
The financial results of Dynamic Cables RSA Limited ("Dynamic Cables") have
been consolidated for the first time with effect from the 1st January 2005,
being the date from which a controlling interest in the subsidiary company was
acquired.
Dynamic Cables RSA Limited allotted 20 065 751 shares to Cape Empowerment Trust
at 60cents per share, in terms of the agreement of purchase of Dynamic Cables
SA (Pty) Ltd by Dynamic Cables RSA Limited from Cape Empowerment Trust Limited.
As a result of the above issue of shares at the election of Dynamic Cables RSA
Limited, Cape Empowerment Trust Limited"s interest in Dynamic Cables increased
to a controlling interest and the parent - subsidiary relationship.
Previously this investment was accounted for under IAS 28: Investment in
associates, as the exact shareholding was difficult to ascertain owing to
certain share issue irregularities. These issues have since been resolved.
The Group held an effective 52.7% of the issued share capital of Dynamic Cables
RSA Limited and corresponding voting rights, thereby exercising control over
Dynamic Cables.
As it is impracticable to assess whether control was exercisable in prior
years, Dynamic Cables results have been consolidated prospectively from the 1st
January 2005, with no adjustments being made to the prior year figures.
The Group paid an effective R29 296 000 for the investment. The fair net asset
value attributable to the Group at the date of acquisition was R8 991 000 (R17
061 000 x 52.7%), resulting in goodwill of R20 305 000 being recognised.
Goodwill is mainly attributable to the overall synergy of the Dynamic Group.
Factors contributing to this include the growth in the brandmark of Dynamic
Cables SA (Pty) Ltd, the positive results of the engineering division and the
growth of the cabling and electrical operations. The fair value attributable to
these divisions is not reliably measurable and therefore no separate intangible
asset has been recognised. Goodwill will be tested on an annual basis for any
impairment in accordance with IAS 36: Impairment of assets. Currently directors
are of the opinion that goodwill is not impaired.
The Group has realised R6 826 000 after-tax profit in the current profit and
loss figures, being its share of the profits of Dynamic Cables RSA Limited,
since the acquisition date.
The following amounts were recognised for Dynamic Cables"s assets and
liabilities. These are the same as the carrying values determined in accordance
with IFRS immediately before the combination.

Trading Liquidity
Your board has been in consultation with various vendors, pool shareholders and
institutions with a view to increasing the amount of shares traded by twenty to
thirty percent of the issued share capital of the company within the next
twelve months. This is being done to address concerns expressed by many
potential shareholders of there not being sufficiently large quantities of
shares available on the market at any given time.
Further Cautionary Announcement
Until such time as detailed announcements are published in regard to the above
investment activity, CET shareholders are advised to exercise caution when
dealing in CET shares.
