Resignation of Non-Executive Director
Super Group announces the resignation of Bhekisisa James Themba Shongwe, Non-
Executive Director, from the Company with immediate effect. Mr. Shongwe has
been appointed as an Executive Director of Metropolitan Bus Services (Pty)
Limited ("Metrobus"). In light of Regulation 44 of the MFMA : Municipal Supply
Chain Management Regulation 2005 and in the interest of good corporate
governance, Mr. Shongwe has resigned as a director of Super Group.
Regulation 44 provides, inter alia, a blanket prohibition on awards of contract
by the municipality and/or a municipal entity to "persons in the service of the
state". The definition of "persons in the service of the state" includes a
member of the board of directors of any municipal entity. Regulation 44 further
provides that if a "persons in the service of the state" is a director, manager,
principal shareholder or stakeholder of a particular company, such company shall
be prohibited from being awarded contracts by the municipality or another
municipal entity.
