RESULTS OF ANNUAL GENERAL MEETING
Imara Corporate Finance South Africa (Pty) Limited is authorised to announce
that at the Annual General Meeting of the Company"s shareholders held on Friday,
24th February 2006, approval was received for the passing of all the resolutions
proposed thereat, including the items of Special Business relating to the
reorganisation of the Company.

Last Date to trade in existing shares on
the JSE, prior to the share cancellation,
at close of business on Friday, 10 March
Entitled to trade new shares on the JSE
and Luxemburg exchanges with the new ISIN
number LU0243998001 on Monday, 13 March
Record date on the JSE Friday 17 March
Subject to receipt of old share
certificates, new share certificates in
respect of the share cancellation, for
those shareholders registered on the South
African register that hold certificated Monday, 20 March

on the South African register, CSDP or
broker safe custody accounts updated for
the share cancellation Monday, 20 March
Note:
Shareholders are reminded that the warrants and ZRC Ltd shares will not be
listed.
CERTIFICATES IN RESPECT OF THE ISSSUE OF WARRANTS AND DIVIDEND IN SPECIE
Shareholders are advised that the last date to trade and record dates as
referred to above will apply for the issue of certificates in respect of the
warrants and the dividend in specie. Shareholders will be advised of the date on
which these certificates will be posted to shareholders.
