CAUTIONARY ANNOUNCEMENT
Shareholders are referred to the announcements dated 26 January 2006 and 3
February 2006 concerning the possible unbundling of the holding in Simmers by
the company"s majority BEE shareholder, Jaganda (Pty) Limited ("Jaganda").
Shareholders are now advised that Simmers has been informed that one of the
shareholder groupings within Jaganda has applied to the High Court for the
winding up of Jaganda in terms of Section 346 of the Companies Act.
Simmers wishes to assure shareholders that the Jaganda action will have no
impact on the operations or management of Simmers. Even so, since the outcome
of the dispute between the two shareholder groupings remains uncertain (until
the High Court has made its ruling) and may therefore have a material effect on
the price of Simmers securities, Simmers shareholders are advised to exercise
caution when dealing in the company"s shares until a further announcement is
made in this regard.
