3. Exercise of option by Executive Director

5. Option vesting and lapse under the Old Mutual Share Option and Deferred
Delivery Plan to persons discharging managerial responsibilities ("PDMRs")
The following options vested (all with an exercise price of GBP0.8625 per share)
to PDMRs on 27 February 2006 as a result of the succesful achievement of EPS-
based performance targets. Certain option shares granted to Mr Powers lapsed on
27 February 2006, as a result of the third tier of the ZAR-based EPS performance
target not being fully met. All of these options expire if not exercised before
25 Febuary 2009.

(and his connected persons, for the purposes of section 346 of the UK Companies
Act 1985) has no other beneficial interest in Old Mutual plc shares.
