ANNOUNCEMENT REGARDING POSTING OF THE CIRCULAR, SALIENT DATES AND TIMES AND THE
DATE OF THE ANNUAL GENERAL MEETING
1. POSTING OF THE CIRCULAR TO ALPINA LINKED UNIT HOLDERS
Further to the announcement released on SENS and published in the press on 15
August 2005, Alpina linked unit holders are advised that the circular regarding:
- the disposal of four properties and a wholly-owned property owning
subsidiary of Alpina;
- the specific repurchase of "b-class" linked units;
- the acquisition of the Orion Property Portfolio;
- a specific issue of linked units for cash;
- a change in control of Alpina;
- a change of name to Orion Real Estate Limited;
- an increase in the authorised capital of Alpina;
- a capitalisation issue of linked units to Alpina "a-class" linked unit
holders; and
- a restructure of Alpina"s linked units,
- is being posted to shareholders today, 23 January 2006.
General meetings of `a-class" debenture holders" `b-class" debenture holders and
all members of Alpina to approve the above will be held in the boardroom of
Alpina Investments Limited at 43 Wierda Road West, Wierda Valley, Sandton on
Wednesday 15 February 2006.
2. SALIENT DATES AND TIMES
2006
Last date for forms of proxies to be lodged in
respect of the general meetings by 10h00 on Monday, 13 February
General meetings of;
- `a-class" debenture holders only
- `b-class" debenture holders only; and
- members,
will be held at 10h00, 10h05 and 10h10
respectively on Wednesday, 15 February
Announcement regarding results of general meetings
released on SENS on Wednesday, 15 February
Announcement regarding the results of the general
meetings published in the press on Thursday, 16 February
Special resolutions lodged at CIPRO on Thursday, 16 February
Last day to trade in order to participate in the
capitalisation issue; and
Last day to trade in linked units under the old
name of Alpina Investments Limited Friday, 3 March
Maximum number of capitalisation linked units
listed from commencement of trade on Monday, 6 March
Linked units trade post debenture restructure and
in the new name of Orion Real Estate Monday, 6 March
Capitalisation issue linked units commence trading
in the new name of Orion Real Estate Limited on
Monday, 6 March
Trade commences in the JSE alpha code "ORE" and
new ISIN ZAE000075651 on (see note 4) Monday, 6 March
Record date of the name change, debenture
restructure and change of control; and
Record date to determine who participates in the
capitalisation issue Friday, 10 March
In respect of certificated linked unit holders, if
existing linked unit certificates are surrendered
together with forms of surrender on or before
12h00 on Friday, 10 March 2006 new linked unit
certificates will be posted by registered post at
the risk of linked unit holders (or failing such
surrender within five business days of the date of
surrender) on or about Monday, 13 March
In respect of dematerialised linked unit holders,
their safe custody accounts with their CSDP or
broker will be updated with the restructure,
capitalisation issue and change of name on
Monday, 13 March
In respect of the capitalisation issue, new linked
unit certificates will be mailed to certificated
shareholders on or about Monday, 13 March
Notes:
1. The above dates and times are subject to amendments. Details of any such
amendment will be released on SENS and published in the press.
2. Linked unit holders will not be able to dematerialise or rematerialise their
Alpina linked units after Friday, 3 March 2006.
3. Alpina linked unit holders and debenture holders who surrender their existing
documents of title after the record date will have their new linked unit
certificates posted by registered post within five business days of receipt
thereof by the transfer secretaries at the risk of the linked unit holders or
debenture holders concerned.
4. Alpina will be acquiring Elma Park initially and thereafter linked units will
be issued as and when individual properties are transferred. The listing of all
the consideration linked units will only commence once all of the properties
comprising the Orion Property Portfolio have been transferred and the public
shareholder spread requirements have been met.
3. ANNUAL GENERAL MEETING
Alpina linked unit holders are further advised that the annual general meeting
will be held at 10h30 in the boardroom of Alpina Investments Limited at 43
Wierda Road West, Wierda Valley, Sandton on Wednesday 15 February 2006.
