DEALING IN SECURITIES BY A DIRECTOR
In compliance with section 3.63 of the Listings Requirements of JSE Limited
("the Listings Requirements") we hereby advise that for financial planning
purposes Mr S M Ross, Chief Executive Officer of Edcon, has purchased 1 000 000
and sold 500 000 Edcon shares over which options had been issued to him. The
details of these transactions are as follows :
A. Nature of Transaction: Purchase pursuant to the exercise
of options
Transaction Date : 14 March 2006
Class of Shares : Ordinary shares of 1 cent each
Number of Shares : 1 000 000
Price per share : 260 cents
Value of Transaction : R2 600 000.00
Nature of interest : Directly beneficial
Option Strike Price : 260 cents per share
Option Strike Date : 20 November 2001
Vesting Period : 1 000 000 on or after 1 March 2006.
B. Nature of Transaction:Sale on the open market
Transaction Date : 14 March 2006
Class of Shares : Ordinary shares of 1 cent each
Number of Shares : 500 000
Average Price per
Share : 3615 cents
Value of Transaction: R18 060 189.89
Nature of interest : Directly beneficial
These transactions constitute approximately 20% of Mr Ross" remaining option
entitlement, and now bring Mr Ross" personal holding of Edcon shares to a total
of 2 500 000 shares.
In terms of section 3.66 of the Listings Requirements prior clearance for Mr
Ross to deal in the above securities has been obtained from Mr W S MacFarlane,
non-executive Chairman of the Board of Directors of Edcon.
