UPDATE: TAX MATTERS
The former shareholders of Sage ("Shareholders") are referred to the previous
announcement made on SENS on 25 August 2005 regarding the tax matters as
described in the Circular to Shareholders dated 8 July 2005 and for which Escrow
accounts of R120 million are being maintained.
In terms of the Escrow agreement, the escrow steering committee is obliged to
semi-annually advise shareholders, by way of a SENS announcement, of progress
made in resolving the escrow tax matters, and as and when a tax matter is
finally resolved.
Accordingly, shareholders are hereby advised that regular meetings and
communications have been held with the South African Revenue Service
("SARS").However,at this stage, despite progress having been made, all the
escrow tax matters remain unresolved and are still being deliberated.
