RENEWAL OF CAUTIONARY ANNOUNCEMENT
ERP.com shareholders are advised that subsequent to the cautionary announcement
dated 15 February 2006 in which the company had received an expression of
interest to acquire the company, a further expression of interest has been
received.
The Board continues to be in discussions with the first potential bidder and
will enter into discussions with the new party. A sub-committee of independent
non-executives has been formed to evaluate these expressions of interest and any
potential offers. The sub-committee is also in the process of finalizing the
appointment of independent advisers.
If either of the above discussions are successfully concluded, this may have a
material effect on the price at which the company"s shares trade on the JSE
Limited. ERP.com shareholders are accordingly advised to continue exercising
caution when dealing in their ERP.com shares until a further announcement is
made.
