COMMENTS
After much deliberation about the business portfolio of the Integrear Limited
group the directors have concluded that these businesses are subject to market
conditions that hamper long-term growth. The Board therefore concluded that the
best way forward would be to sell these businesses and to return the proceeds to
the shareholders in the way of a share buy-back offer. To this effect Integrear
Abacus (Pty) Limited as well as the Zeus business of Integrear Indicium (Pty)
Limited has been sold. Notices in terms of these transactions were placed in the
newspapers and a circular will shortly be mailed to shareholders.
ACCOUNTING POLICIES
The interim statement has been prepared in accordance with IFRS on accounting
for interim final statements. The accounting policies used are consistent with
those used in the annual financial statements for the year ended 30 June 2005.
AUDIT REPORT
The interim consolidated financial statements are not audited.
CORPORATE GOVERNANCE
The Group subscribes to and complies with the Code on Corporate Governance
Practices and Conduct as contained in the second King Report on Corporate
Governance.
SEGMENT REPORTING
No segment reporting was prepared since the group only operated in one
geographical and business segment.
JSE LIMITED REQUIREMENTS
This announcement has been prepared in accordance with the listing requirements
of the JSE Limited.
FINANCIAL
Due to the sale of Abacus (Pty) Limited and the sale of the Zeus business of
Indicium (Pty) Limited, several capital gains tax and secondary tax on companies
might have an impact on the final results as at 31 December 2005.
The matter is currently being referred for a legal opinion on which the final
impact can only be established. We want to inform shareholders that this might
have an effect on the final interim statements of which the shareholders will be
informed adequately of any material changes.
PROSPECTS
The only remaining business in the group is the business process management
business of Integrear Systemflo. Systemflo"s revenue is primarily derived from
the support of its current customer base according to annual software support
agreements, as well as project work and software licensing revenue. Ongoing
project work is foreseen with major customers.
DIVIDEND
No dividend is declared for the period under review.
