Commentary on the December 2005 Interim Financial Report
Basis of Preparation
The unaudited condensed consolidated interim financial statements have been
prepared in accordance with International Financial Reporting Standards
("IFRS"). The company adopted IFRS for the first time on 1 July 2005 and these
are the group"s first interim IFRS condensed financial statements. IFRS First
Time Adoption of IFRS has been applied. IAS34-Interim Financial Reporting and
the requirements of the South African Companies Act of 1973 and the disclosure
requirements of the JSE Limited have been adopted. This report has been prepared
on the fair value and going concern basis.
Significant changes to the Group"s accounting policies as a result of the
adoption of IFRS
The principal accounting policies are consistent with those applied in the
previous year:
Investment Properties
Items of property have consistently been stated on an annual basis at valuation
and accordingly no adjustments in this regard were necessary.
Tangible Assets
The company"s property, plant and equipment are stated at cost less accumulated
depreciation and impairment losses. As the company"s property, plant and
equipment have all been recently acquired and impaired in its June 2005 results,
no adjustments in terms of IFRS were required.
Smoothing of Operating Rentals Received
The operating rentals have been smoothed for the year ended 30 June 2005 in
accordance with AC105 - GAAP requirements. The previous year was restated as
required by AC105. The smoothing of the operating lease rentals received is also
an IFRS requirement and the interim results for 31 December 2004 have been
adjusted to conform therewith.
Impact of the Transition to IFRS
The requirements for the First Time Adoption of IFRS as required by IFRS1 are
clearly reflected in the company"s statement of changes in equity.
In comparing its comparative information for the six months ended 31 December
2004, the group has adjusted the amounts previously reported in the financial
statements prepared in accordance with previous GAAP. The net effect of the
transition to IFRS is not material; the restatement of the comparative
information is an increase in retained earnings of R238 193 for the six months
ended 31 December 2004.
Review of Operations
Orion, which traded as Alpina Investments Limited for the financial period under
review, reflected a loss of R1,5 million. The reduced operating loss was the
result of having disposed of loss-making properties in the previous twelve
months. Certain transaction costs were also brought to account. The headline
loss amounts to R1,18 million, resulting in a HEPS loss of 5,62 cents per linked
unit.
Status of Corporate Actions
The acquisition of the company owning the Orion Centre in Edenvale has been
concluded and 130 647 058 linked units have been issued to the Franz Gmeiner
group ("FGA"). The property transfers in respect of the balance of the
properties acquired and those being disposed of are proceeding following
Competition Commission approval. The specific issue of 35 300 000 linked units
to FGA at 17 cents per linked unit has raised R6 001 000 in cash.
Company Objectives
The company"s short-term investment strategy is to create a property portfolio
of significant critical mass through the acquisition of quality, high-yielding
properties.
In the short-term it is planned to acquire further properties that will boost
the portfolio to in excess of R400 million.
Recapitalisation of the Company
As part of the restructuring process, the board is examining opportunities to
raise additional capital.
BEE Initiative
Orion is in discussion with various parties and intends adopting black economic
empowerment (BEE) and transformation in ownership, control, skills development,
employment equity, procurement and development of untapped areas.
Post Balance Sheet Activity
At the general meeting held on 15 February 2006, unit holders approved the
disposal of various properties, the acquisition of the Orion property portfolio,
the restructure of "a-class" and "b-class" units into one consolidated linked
unit, the repurchase of units held by Bonatla Property Holdings Ltd ("Bonatla"),
the change of the company"s name to "Orion Real Estate Limited" ("Orion"), and
the issue of units for cash under varying conditions.
Following the acquisition of the company owning the Orion Centre in Edenvale,
187 180 910 linked units are now in issue. A further 9 022 199 linked units are
subject to a specific repurchase once the properties being disposed of to
Bonatla, have been transferred. As and when the property transfers are completed
for the balance of the properties being acquired from FGA (as referred to
above), a further 377 647 058 linked units will be issued to FGA bringing the
total number of linked units in issue to 564 827 968.
Dividend
No distributions have been made for the six months under review.
