of the scheme. The directors of Prism who hold Prism shares intend voting in
favour of the scheme in respect of their shares.
5. CONDITIONS TO THE SCHEME
Consequent upon an agreement concluded between Prism and Net1, Net1 has
expedited the completion of its due diligence investigation in respect of Prism.
The due diligence investigation has been completed to the satisfaction of Net1.
Accordingly, the scheme will no longer be conditional on any further due
diligence process.
The scheme will be subject to fulfilment of the following conditions precedent:
5.1. the approval of the transaction by the South African competition
authorities ("the Competition Authorities");
5.2. Net1 not becoming aware prior to the approval of the scheme at the scheme
meeting of any adverse effect, fact or circumstance impacting on the Prism
business which is material with regard to the present business, or to the
continued existence, assets, revenues or financial position of Prism;
5.3. the scheme being approved by a majority representing not less than 75% of
the votes exercisable by the scheme members present and voting either in person
or by proxy, at the scheme meeting, provided that scheme members holding at

The scheme remains subject to the resolutive condition that no competing offer
or bid is received by the Prism board or made by a third party prior to the
implementation of the scheme which would result in Prism shareholders who have
furnished written undertakings to support the scheme being entitled to withdraw
(and in fact withdrawing) such undertakings so that, as a result, Prism
shareholders holding less than 40% of the issued share capital of Prism remain
bound to support the scheme. This resolutive condition has been stipulated for
the benefit of Net1 and may be waived by Net1 at any time.
6. SALIENT DATES AND TIMES
