ANNOUNCEMENT TO SHAREHOLDERS
RESULTS OF GENERAL MEETING
Shareholders are advised that all resolutions in respect of the distribution of
a liquidation dividend in anticipation of a members" voluntary winding-up and
the delisting and members" voluntary winding-up of Gencor, were passed at the
general meeting held on Thursday, 6 April 2006. The special resolutions will be
lodged with the Registrar of Companies and registered in due course.
Shareholders are reminded of the following salient dates in respect of the
liquidation dividend:
2006
Last day to trade to receive the liquidation Thursday, 20 April
dividend at close of business on
Suspension of Gencor shares from the JSE with Friday, 21 April
the commencement of business on
Record date Friday, 28 April
Liquidation dividend to be paid on Tuesday, 2 May
Termination of listing of Gencor shares from Wednesday, 3 May
the JSE from the commencement of business on
The above dates and times may be subject to amendment. Any amendment will be
published on SENS and in the press.
Share certificates may not be dematerialised or rematerialised after Thursday,
20 April 2006.
Liquidation dividend
The payment to shareholders of 20 cents per share is comprised as follows:
- 0.1 cents per share will be paid from reserves and accordingly will be
classified as a dividend for South African Tax purposes in the hands of the
Gencor shareholders.
- 19.9 cents per share will be paid out of share capital and will be classified
as a return of capital for South African Tax purposes in the hands of the Gencor
shareholders.
Please refer to the circular dated 14 March 2006 for an overview of the tax
implications of the liquidation dividend.
