NOTICE OF GENERAL MEETING
Primedia shareholders are advised that the Company has issued a notice of a
general meeting of Primedia shareholders to be held at the registered office of
Primedia, Primedia Place, 5 Gwen Lane, Sandton at 09h00 on Thursday, 4 May 2006,
to consider and if deemed fit, to approve the creation of 5 000 000 non-
redeemable, cumulative, non-participating preference shares, and an additional
50 000 000 N ordinary shares of R0,0002 each and to amend the memorandum and
articles accordingly.
