RESULTS OF GENERAL MEETING
At the general meeting of the company held on 13 April 2006 ("the meeting"), the
requisite majority of shareholders approved the ordinary and special resolutions
required to implement the reverse take-over of the company in terms of which the
company will acquire all of the issued shares and loan accounts in Metmar
Trading, Metmar Properties (Pty) Limited, Hornet Properties (Pty) Limited and
Matrix Metals (Pty) Limited held by Messrs Boshoff, Ellwood, Forsdyke and Lotis
in exchange for the issue of consolidated shares in the company. All the other
ordinary and special resolutions proposed at the meeting were also approved.
Registration of the special resolutions is expected to take place shortly.
Shareholders are reminded of the important dates and times set out in the
announcement of 24 March 2006. Any changes to such dates and times will, where
required, be announced on SENS and in the press.
