SUSPENSION OF LISTING AND CHANGES TO THE BOARD OF DIRECTORS
Shareholders are advised that J.G.L Uytdewilligen ("the remaining director") has
applied to the JSE Limited ("JSE") for the suspension of the listing of the
company on the JSE. The reasons for the application are:
- there is only one director of the company at present, being J.G.L
Uytdewilligen; and
- based on the current management accounts, the remaining director is of the
opinion that the company may be technically insolvent.
Mr R Blaauw has resigned as a director of the company with immediate effect.
This follows the resignation of Messers N. Wessels, C. Pelley and W. Monsma on
27 March 2006.
The remaining director is currently in negotiations with a third party regarding
a possible reverse listing into APS.
Shareholders will be advised as to the outcome of the negotiations as soon as
more information becomes available. The audited annual financial statements of
the company will be posted to shareholders on or about 30 April 2006.
The listing of the company will be suspended with immediate effect, until such
time as greater certainty regarding the company is established.
