Conversion of US$100 000 000 convertible bonds
Dimension Data Holdings plc ("Dimension Data") today announces that R&V
Technology Holdings Limited ("R&V"), previously a subsidiary of Venfin Limited
and currently a subsidiary of investment holding company Business Ventures
Investments 951 Limited (often described as Newco), has elected to convert its
$100 million convertible bonds in the Group into 188,121,978 ordinary Dimension
Data plc shares.
In terms of the agreements governing the convertible bonds, Dimension Data had
the right to redeem the bonds under certain share price conditions. Given
Dimension Data"s share price performance, these conditions had been met, and R&V
has elected to convert the bonds rather than accept redemption.
On conversion, the additional shares will amount to 12.2% of the enlarged issued
share capital of Dimension Data.
Dimension Data will be required to prepare listing particulars in respect of the
new shares which will be allotted following approval of the listing particulars
and the admission to listing of the shares by the UK Listing Authority.
