Announcement to shareholders
Further to the listing of Eland Platinum"s ordinary shares in the "Mining -
Platinum and Precious Metals" sector of the JSE Limited ("JSE") on Wednesday, 29
March 2006, Nedbank Capital, a division of Nedbank Limited ("Nedbank Capital")
is authorised to inform Eland Platinum shareholders of the following:
Price stabilisation
In terms of Section 5.105 of the JSE Listings Requirements, the stabilisation
period during which Nedbank Capital may carry out stabilising transactions will
close on Thursday 27 April 2006, 30 calendar days after the listing of Eland
Platinum"s ordinary shares on the JSE. Since 27 April 2006 is a public holiday
in South Africa, Wednesday 26 April 2006 is last day on which Nedbank Capital
may carry out stabilising transactions.
Issue of shares in terms of the underwriter"s option
In terms of the underwriting agreement entered into between Eland Platinum and
Nedbank Capital, Nedbank Capital has given notice of its intention to exercise
its underwriting option. The exercise of the underwriting option will result in
Eland Platinum issuing Nedbank Capital 2 657 349 Eland Platinum ordinary shares
for cash. These Eland Platinum ordinary shares will be issued to Nedbank
Capital at R21.00 (twenty one Rand) per ordinary share, and Eland Platinum will
receive proceeds amounting to R55 804 329 which will be applied to the
development of the Elandsfotein Platinum Project.
