OFFER TO EC-HOLD LIMITED ("EC-HOLD") SHAREHOLDERS AT 11 OCTOBER 1999
Shareholders of Metrofile Holdings ("the offeror") and EC-Hold are referred to
the announcements dated 23 March and 20 April 2006, and in particular the
closing date of the offer on 20 April 2006 and the intention of the offeror to
mail cheques to EC-Hold offer participants by 28 April 2006.
Some EC-Hold shareholders purported to accept the offer but do not qualify as
offerees (as defined in the circular dated 30 March 2006) as, according to EC-
Hold"s records, they were either not shareholders of EC-Hold on 11 October 1999
and/or have not tendered documents of title relative to shares held at that
date. The relevant CSDPs have been advised accordingly and the CSDPs are
invited to contact the offeror"s company secretary through the company"s
transfer secretaries, Computershare by noon on 9 May 2006 if they have evidence
that these shareholders qualify as offerees.
Other EC-Hold shareholders, who may qualify as offerees, have not submitted
documents of title (as defined and required in the circular dated 30 March 2006)
by the closing date of the offer and therefore do not qualify as offer
participants. The relevant CSDPs or EC-Hold shareholders have been notified
accordingly. The offeror is bound by various agreements relating to the offer
and does not have the authority to consider waiving any of the requirements
under the offer for documents of title. Nevertheless, the offeror will be
entering into discussions with the relevant contracting parties to determine
whether any of the requirements may be voluntarily waived. If this occurs and
any of the affected offerees are deemed to qualify as offer participants,
despite not complying with the terms of the offer, they will be notified
accordingly, advised what additional documents must be submitted and by when
they must be received by the company"s transfer secretaries, Computershare.
